Session I — Tackling Carve-Out M&A Transactions
With asset values soaring, companies are selling off business lines or parts of their business as a way to unlock value while retaining other parts of their business. In this session, a panel of knowledgeable in-house and law firm practitioners will share insights gleaned from executing these carve-out transactions, which often present complications not encountered when selling a business as a whole. The panelists will review key issues that arise during the planning, negotiation and implementation phases, including: 1) preparation and documentation; 2) investigation/due diligence areas of focus; 3) allocation of assets and liabilities; and 4) separation and transition matters.
Session II — Successful & Meaningful Partnerships: Developing Bonds With Your Outside Counsel
The demands on your time, your short- and long-term business goals, and much of your day-to-day responsibilities are vastly different when you practice law as an in-house lawyer. This program will suggest best practices to employ when partnering with outside counsel so that you can address the needs of your internal clients as a cohesive team. The panel will also discuss the latest diversity, equity, and inclusion developments impacting the legal industry and corporate America, exploring how outside counsel and in-house counsel can work together to support the movement toward a more equitable future.
Session III — Pre-litigation and Litigation Risk Management: Preparing Company Witnesses for Effective Deposition Testimony
This program will help guide companies through the pre-litigation and litigation risk management of preparing company witnesses for effective deposition testimony. From the earliest stages of litigation, companies must be preparing their key company witnesses for effective testimony, including the process of testifying, the substance of their testimony, handling aggressive cross-examination (including the “Reptile Theory”) and preparing an effective direct examination. Don't let your unprepared witness become your opponent's best witness.
